TERMS AND CONDITIONS OF SALE

Ortho Active Appliances Ltd. (“Ortho Active”) is a Canadian distributor of orthopaedic, prosthetic, bracing, and related medical and health products serving healthcare professionals. All sales of products by Ortho Active to business customers (“Customer”) are subject to the following Terms and Conditions of Sale (“Terms”). By placing an order, the Customer acknowledges and agrees to these Terms.
Ortho Active Appliances Ltd. (« Ortho Active ») est un distributeur canadien de produits orthopédiques, prothétiques, de soutien, ainsi que de produits médicaux et de santé connexes destinés aux professionnels de la santé. Toutes les ventes de produits effectuées par Ortho Active auprès de clients commerciaux (« Client ») sont assujetties aux présentes Conditions générales de vente (« Conditions »). En passant une commande, le Client reconnaît et accepte ces Conditions.
1. Scope / Portée
These Terms apply to all sales and distribution of products by Ortho Active to business or institutional customers within Canada.
Les présentes Conditions s’appliquent à toutes les ventes et à toute distribution de produits effectuées par Ortho Active auprès de clients commerciaux ou institutionnels au Canada. Les ventes aux consommateurs (détail) ne sont pas visées par ce document.
2. Orders and Acceptance Commandes et acceptation
Quotations are valid for thirty (30) days unless otherwise stated. Orders become binding only upon written confirmation by Ortho Active. Any Customer purchase-order terms that conflict with these Terms are expressly rejected unless agreed to in writing by Ortho Active.

3. Pricing, Payment and Pricing Compliance / Prix, paiement et conformité aux prix
A. Pricing and Payment. All prices are in Canadian dollars (CAD) and exclude applicable taxes and freight. Minimum order value: $50 CAD (before tax and freight). Payment is required in full prior to shipment, unless credit terms have been approved in writing. Accepted payment methods: Electronic Funds Transfer (EFT) or e-Transfer to the account designated by Ortho Active. Credit-card payments are subject to a 3 % processing fee. Credit terms may be granted upon request and are subject to credit approval. Bulk orders, booking orders, and other large-volume orders are subject to a 50 % down payment at the time of purchase-order processing. Such orders are non-cancellable once confirmed. Overdue balances on approved credit accounts are subject to 2 % per month (24 % per annum) interest. Ortho Active reserves the right to suspend or withhold shipments for accounts with outstanding balances.

Les paiements par carte de crédit sont assujettis à des frais de traitement de 3 %. Les modalités de crédit peuvent être accordées sur demande, sous réserve d’une approbation de crédit.
Les commandes en vrac, les commandes saisonnières (« booking orders ») et les commandes de grand volume exigent un dépôt de 50 % au moment du traitement du bon de commande, et sont non annulables une fois confirmées.
Les soldes échus portent intérêt à 2 % par mois (24 % par année).
B. MSRP and Pricing Compliance. Where a Manufacturer’s Suggested Retail Price (MSRP) or recommended resale price is provided by Ortho Active, the Customer agrees to adhere to such pricing guidance when offering products for resale, unless otherwise authorized in writing by Ortho Active.
The Customer shall not:
- Advertise products supplied by Ortho Active at prices materially below the published
MSRP;
- Engage in pricing practices that may devalue the brand, disrupt market fairness, or materially affect other authorized resellers; or
- Utilize online channels, digital ads, or promotional mechanisms to circumvent MSRP guidance.
Ortho Active reserves the right to modify MSRP from time to time. Updated pricing will be communicated through official price lists, electronic communications, or reseller notices. Failure to comply with MSRP requirements may result in suspension of supply, cancellation of pending orders, or termination of reseller authorization.
B. Conformité aux prix (PDSF/MSRP)

– Utiliser des plateformes en ligne ou publicités pour contourner le PDSF.
Le non-respect peut entraîner la suspension de l’approvisionnement ou la révocation du statut de revendeur.
4. Delivery, Freight, Risk, and Title / Livraison, transport, risques et titre de propriété
Unless otherwise stated, all shipments are F.O.B. Ortho Active warehouse (Coquitlam, BC). Shipping Charges: The Customer pays freight on orders from $50 to $499.99 CAD (before tax). Free shipping applies to orders $500 CAD and above, excluding expedited and/or large, bulky, or heavy items as designated by Ortho Active. Shipping Method: Ortho Active will select carriers and methods balancing speed, cost, and reliability. Customer shipping preferences or routing instructions must be provided at the time of order. Ortho Active will make reasonable efforts to accommodate such requests but will not be responsible for higher freight costs or delays when no routing instructions are given. Risk of loss transfers to the Customer upon transfer of goods to the carrier. Title passes to the Customer upon full payment. The Customer is responsible for maintaining appropriate transit insurance.

L’expédition est gratuite pour les commandes de 500 $ CAD et plus, à l’exception des articles volumineux ou lourds.
Méthode d’expédition : Ortho Active choisit les transporteurs offrant un équilibre entre rapidité et coût. Toute instruction doit être fournie au moment de la commande. Le risque de perte est transféré au Client dès la remise des biens au transporteur. Le titre de propriété est transféré au paiement complet.
Damage or Loss in Transit: All shipments are sold on an F.O.B. Coquitlam basis. Ortho Active packages all products carefully, but once goods are transferred to the carrier, Ortho Active cannot accept responsibility for transit damage or loss. The Customer must inspect shipments immediately upon receipt. Any damage, loss or missing product claim must be filed within 10 days from shipment date to Ortho Active. Any claim not within this period may not be acknowledged or processed. Ortho Active will assist by providing documentation as required but cannot assume liability for freight-carrier damages or delays.
Short Shipments or Errors: Claims relating to missing items, shipping errors, or quantity discrepancies must be reported to Ortho Active within five (5) business days of receipt of goods. Claims received after this period may not be accepted.

5. Product Information and Availability / Information sur les produits et disponibilité
Product pricing, descriptions, specifications, and availability are subject to change without notice. Ortho Active makes reasonable efforts to ensure accuracy but does not guarantee that catalogue or website information is error-free.

6. Product Use and Suitability / Utilisation et adéquation des produits
Products which are medical devices supplied by Ortho Active are intended solely for use by qualified healthcare professionals. The Customer is solely responsible for determining the suitability of any product for its intended clinical use or patient application. Products sold by Ortho Active that are not classified as medical devices may be used in accordance with manufacturer instructions and applicable professional standards. No product is warranted as fit for a particular patient or purpose beyond the manufacturer’s stated warranty.

7. Product Handling and Storage / Manipulation et entreposage
The Customer must handle, store, and maintain all products in accordance with manufacturer instructions, professional standards, and Health Canada regulations. Ortho Active is not liable for damage or defect resulting from improper storage, handling, or modification.

8. Custom Products / Produits personnalisés
Ortho Active may supply custom-made or modified products to meet specific customer or patient requirements. Custom products include, but are not limited to, items manufactured to non-standard dimensions, specifications, or materials, or products altered at the customer’s request. All custom-made or special-order products are final sale, non-returnable, and non-refundable, except where a confirmed manufacturing defect exists under the applicable warranty. Custom products are covered under their respective manufacturer or distributor warranty, or for Ortho Active-branded products, under the Ortho Active Product Warranty Statement. Customers must verify design details, measurements, and specifications before order placement. Production of custom items will proceed only after written confirmation or approval by the Customer.

9. Returns and RMA Procedure / Retours et procédure RMA
All returns require prior authorization through the Ortho Active Return Material Authorization

(RMA) Process.
Standard Returns: Must be requested within 30 days of invoice date. Products must be unopened, undamaged, and in original packaging. Medical Devices that have been fitted and/or worn are not returnable based upon Health Canada regulations on sterility. Returns are for credit on account only; no cash refunds. The Customer is responsible for return shipping costs and must provide a tracking number. Unauthorized or late returns may be refused. All returns are subject to a restocking fee of 20 %.

Device Complaints and Warranty Returns: For suspected product defects or device issues, the Customer must contact Ortho Active immediately before returning the product. Complaint related returns follow a separate Complaint Handling Process in compliance with the Medical Devices Regulations (SOR/98-282). Warranty returns will be processed per manufacturer terms. 10. Warranty / Garantie
Products are covered under their respective manufacturer or distributor warranties, as listed in the Manufacturer & Distributor Warranty Reference Guide available at www.orthoactive.com/warranty. Ortho Active is the first point of contact for warranty claims on all products purchased through Ortho Active. The warranty for Ortho Active-branded products is defined separately in the Ortho Active Product Warranty Statement. Ortho Active makes no additional expressed or implied warranties, including merchantability or fitness for a particular purpose.

11. Limitation of Liability / Limitation de responsabilité
To the fullest extent permitted by law: Ortho Active’s total liability, whether in contract, tort, or otherwise, shall not exceed the purchase price of the product giving rise to the claim. Ortho Active shall not be liable for any indirect, consequential, special, or punitive damages, including loss of profit or business opportunity. The Customer’s exclusive remedy is repair, replacement, or credit as provided under the applicable warranty.

12. Indemnification / Indemnisation
The Customer agrees to indemnify and hold harmless Ortho Active, its officers, employees, and agents from any and all claims, losses, damages, or expenses (including legal fees) arising out of the Customer’s use, modification, or resale of products; breach of these Terms; or failure to comply with applicable laws or professional standards.
13. Regulatory Compliance and Traceability / Conformité réglementaire
Ortho Active distributes medical devices in accordance with the Canadian Medical Devices Regulations (SOR/98-282). The Customer must maintain records sufficient to trace distributed products to the end user or patient as required by Section 53. The Customer shall cooperate with Ortho Active in the event of a product recall, field safety notice, or corrective action and provide distribution information as requested.

14. Incident Reporting / Déclaration d’incident
The Customer shall promptly notify Ortho Active of any adverse event, malfunction, or incident involving a product that has led, or could have led, to patient injury or death.

15. Professional Use, Resale and Online Sales / Utilisation professionnelle, revente et vente en ligne
A. Professional Use. Products supplied by Ortho Active are intended solely for use by qualified healthcare professionals. The Customer is responsible for ensuring that all personnel using, dispensing, or applying products have appropriate training and credentials.
B. Resale. Products may not be resold, repackaged, or re-labelled without prior written consent from Ortho Active, except in the normal course of business as an authorized clinic or dealer.
C. Online Sales. The Customer shall not list, advertise, or sell any Ortho Active products, or any products supplied by Ortho Active, on Amazon, eBay, or any other third-party online marketplace or webstore without prior written authorization from Ortho Active. This restriction includes, but is not limited to, direct listings, fulfillment-by-marketplace arrangements, and resale through digital storefronts operated by the Customer or its affiliates.
Ortho Active reserves the right to immediately suspend supply, cancel pending orders, and revoke any authorized dealer status if a Customer is found to be marketing or selling Ortho Active-supplied products online without express written consent. Authorized online resellers must comply with Ortho Active’s Brand, Pricing, and Product Representation Guidelines and maintain accurate, non-misleading product descriptions and imagery.

16. Retention of Title / Réserve de propriété
Ownership of products shall remain with Ortho Active until payment in full has been received. Ortho Active retains a security interest in the products and their proceeds until full payment is made.

17. Product Substitution / Substitution de produits
Ortho Active reserves the right to supply an equivalent or updated product if a model has been discontinued or revised by the manufacturer, provided that the substitution meets or exceeds the original specifications. Features such as colour or surface finish are not considered key attributes of a medical device or related product, and cosmetic substitutions may occur without prior notice.

18. Product Disposal / Élimination des produits
The Customer is responsible for disposal of used, defective, or obsolete products in accordance with local environmental and biohazard regulations.

19. Privacy and Patient Data / Protection des renseignements personnels
Ortho Active does not collect, process, or store identifiable patient information. The Customer is solely responsible for compliance with privacy and health information laws, including PIPEDA and PHIPA, in connection with any patient data arising from use of the products.

20. Intellectual Property / Propriété intellectuelle
All trademarks, trade names, and logos remain the property of their respective owners. No license or right to use any such intellectual property is granted except for normal resale or use of products supplied by Ortho Active.

21. Force Majeure / Force majeure
Ortho Active shall not be liable for delay or failure to perform due to causes beyond its reasonable control, including transportation interruptions, strikes, pandemics, or acts of God.
Ortho Active n’est pas responsable des retards causés par des circonstances hors de son contrôle.
22. Electronic Communications / Communications électroniques
The Customer consents to receive invoices, statements, and other correspondence electronically. Marketing communications will be sent only in accordance with Canada’s Anti-Spam Legislation (CASL).

23. Export and Territory / Exportation et territoire
Products are intended for sale and use within Canada only. Export or resale outside Canada without written authorization from Ortho Active is prohibited.

24. Governing Language / Langue
The parties confirm that they have requested that these Terms and all related documents be drafted in English.
Les parties confirment avoir exigé que les présentes Conditions soient rédigées en anglais. La version française est fournie à titre de commodité uniquement. En cas de divergence, la version anglaise prévaudra et sera la seule version officielle et contraignante.
25. Severability and Waiver / Divisibilité et renonciation
If any provision of these Terms is held invalid, the remaining provisions remain in effect. Failure by Ortho Active to enforce any right does not constitute a waiver of that right.
Une clause invalide n’affecte pas le reste. L’absence d’exercice d’un droit ne constitue pas une renonciation.
26. Governing Law / Droit applicable
These Terms are governed by the laws of the Province of British Columbia, Canada, and any disputes shall be resolved exclusively in the courts of that province.

27. Amendments / Modifications
Ortho Active may revise these Terms periodically. The most current version will be available at www.orthoactive.com/terms and will apply to all subsequent orders.
